These Terms of Service ("Terms") are an agreement between Cliantale Limited, a company registered in New Zealand (company number 9448452) ("Cliantale", "we", "us" or "our") and the business that uses our website or services ("you" or "your").

By using our website, requesting a proposal, or subscribing to Cliantale, you agree to these Terms. If you are agreeing on behalf of a business, you confirm you have authority to bind that business.

1. Who these Terms are for

Cliantale is a business-to-business service. It is designed for, and only offered to, businesses and organisations acquiring it for business purposes. It is not offered to individuals for personal, domestic or household use.

If you have signed a separate written agreement with us (for example an Enterprise agreement), that agreement applies alongside these Terms and prevails if the two conflict.

2. The service

Cliantale is an AI-powered customer feedback analysis service. You provide customer feedback, such as online reviews, survey responses and support tickets, and Cliantale groups it into themes, analyses sentiment and trends, and produces prioritised insights, reports and suggested actions ("Outputs").

We may improve, change or add features over time. If we remove a feature that is material to your plan, we will give you reasonable notice and, if you are not satisfied, you may cancel under clause 5.

3. Your account

  • You must give us accurate information and keep it up to date.
  • You are responsible for keeping your login details secure and for everything done through your account.
  • Tell us promptly if you suspect unauthorised access to your account.

4. Plans, fees and payment

  • Currency: all fees are in United States dollars (USD) unless we agree otherwise in writing.
  • Taxes: fees exclude GST and other taxes. Where we are required to charge GST or a similar tax, we will add it to your invoice.
  • Monthly plans: billed monthly in advance, and renew automatically each month until cancelled.
  • Yearly plans: billed once a year in advance, for a fixed 12-month term. They renew automatically for a further 12 months unless you turn off renewal before your renewal date.
  • Plan limits: each plan includes the limits shown on our pricing page, such as the number of data entries or locations. If you exceed them, we may ask you to move to a suitable plan.
  • Payment: you authorise us, and our payment provider, to charge your nominated payment method for each billing period. If a payment fails, we may suspend the service until it is paid.
  • Price changes: we may change our prices by giving you at least 30 days' notice. For monthly plans, the new price applies from your next billing period after the notice ends. For yearly plans, your price is fixed for your current 12-month term and any change applies from your next renewal. If you do not accept a change, you may cancel before it takes effect.

5. Cancellation and refunds

Monthly plans: you can cancel at any time. Cancellation takes effect at the end of your current monthly billing period, and you keep access until then. There is no cancellation fee.

Yearly plans: you commit to the full 12-month term and cannot cancel partway through it. You can turn off automatic renewal at any time, and your plan will then end at the end of your current 12-month term. You keep access until then.

Fees already paid are not refundable, including for unused months or partial periods, except where these Terms say otherwise or where a refund is required by law.

6. Your data

"Customer Data" means the feedback and other information you upload to or connect with Cliantale. You own your Customer Data and the Outputs we produce from it.

You grant us a limited licence to host, copy, process and analyse your Customer Data only to provide the service to you, to keep it secure, and to comply with the law.

  • No AI training: we do not use your Customer Data to train artificial intelligence models, and we do not allow our AI providers to do so.
  • On your behalf: where Customer Data contains personal information about your customers, we process it on your behalf and under your instructions. Our Privacy Policy explains how we handle it.
  • Your responsibilities: you confirm you have the right to provide your Customer Data to us, and that collecting and sharing it complies with the privacy and other laws that apply to you, including giving any notices your customers are entitled to.
  • After cancellation: you can request an export of your Outputs before your subscription ends. We delete your Customer Data within 30 days after your subscription ends, unless the law requires us to keep it longer.

We may use aggregated information about how the service is used, such as feature usage and performance, that does not include the content of your Customer Data and does not identify you or any individual, to operate and improve Cliantale.

7. AI-generated Outputs

Outputs are produced with the help of artificial intelligence. They are designed to support your decisions, not replace your judgement. AI can make mistakes, miss context or misread tone, so you should review Outputs before relying on them. You are responsible for the decisions and actions you take based on Outputs.

8. Acceptable use

You must not:

  • use Cliantale for anything unlawful, harmful or fraudulent;
  • upload material you have no right to share, or that contains malicious code;
  • upload sensitive information (such as health, financial or government identification details) unless it is genuinely necessary and you have a lawful basis to share it;
  • try to access systems or data you are not authorised to access, or disrupt or overload the service;
  • copy, resell, or reverse engineer the service, or use it to build a competing product.

9. Intellectual property

We own the Cliantale service, software, website, brand and all related intellectual property. Apart from the rights set out in these Terms, nothing transfers any of our intellectual property to you.

If you give us suggestions or feedback about Cliantale, we may use them freely without any obligation to you.

10. Confidentiality

Each of us will keep the other's confidential information confidential and use it only for the purposes of this agreement, except where disclosure is required by law. Your Customer Data is your confidential information.

11. Third-party services

Cliantale may connect to third-party services, such as review platforms, survey tools or support systems. Your use of those services is governed by their own terms. We are not responsible for third-party services, their availability, or changes they make that affect our integrations.

12. Availability and support

We work hard to keep Cliantale available and reliable, but we do not promise it will be uninterrupted or error-free. We may need to carry out maintenance from time to time. Specific service levels apply only where agreed in writing, such as in an Enterprise agreement.

13. Consumer law

New Zealand: because Cliantale is supplied and acquired in trade, the parties agree that the Consumer Guarantees Act 1993 does not apply, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, to the extent permitted by law. The parties agree this is fair and reasonable.

Australia: nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where our liability for failing to comply with a consumer guarantee can be limited, it is limited, at our option, to supplying the services again or paying the cost of having them supplied again.

14. Limitation of liability

To the maximum extent permitted by law:

  • the service is provided on an "as is" and "as available" basis, and we exclude all warranties and conditions not expressly set out in these Terms;
  • we are not liable for any indirect or consequential loss, or for any loss of profit, revenue, business, goodwill or data, however it arises;
  • our total liability to you under or in connection with these Terms is limited to the total fees you paid us in the 12 months before the event that gave rise to the claim.

These limits do not apply to liability that cannot be limited by law.

15. Indemnity

You agree to compensate us for any loss or cost (including reasonable legal costs) we incur because of a claim by a third party arising from your Customer Data, including a claim that you did not have the right to provide it to us, or from your breach of clause 8.

16. Suspension and termination

We may suspend or end your access if you materially breach these Terms and do not fix the breach within 14 days of our notice, if you fail to pay, or immediately if your use creates a legal or security risk. When your subscription ends, clauses that by their nature should continue (including clauses 6, 9, 10, 14, 15 and 18) continue to apply.

17. Using our website

You may browse our website for your own information. You must not copy our content for commercial use, interfere with the website, or use automated tools to scrape it. Information on our website is general and may change without notice.

18. Governing law

These Terms are governed by the laws of New Zealand. Both parties submit to the non-exclusive jurisdiction of the courts of New Zealand. This does not remove any rights you have under the Australian Consumer Law or other laws that cannot be excluded.

19. Changes to these Terms

We may update these Terms from time to time. If a change materially affects you, we will give you at least 30 days' notice before it takes effect. If you do not agree to the change, you may cancel before it takes effect. Continuing to use Cliantale after that date means you accept the updated Terms.

20. General

  • Neither party is responsible for delays or failures caused by events beyond its reasonable control.
  • You may not transfer your rights under these Terms without our written consent. We may transfer them as part of a sale or restructure of our business.
  • If any part of these Terms is unenforceable, the rest continues to apply.
  • A delay in enforcing a right is not a waiver of that right.
  • These Terms, together with our Privacy Policy and any written agreement between us, are the entire agreement between us about Cliantale.
